1. Introduction

a. About Us

TalentFora.in operates and makes available the AI-powered resume screening, candidate assessment, and recruitment assistance platform (the "Platform").

The Platform is designed to assist employers, recruiters, hiring teams, and authorised users in reviewing, analysing, and evaluating candidate information using artificial intelligence and automated processing tools.

For the purposes of applicable Indian law, including the Digital Personal Data Protection Act, 2023 ("DPDPA"), Softfoora Services Private Limited may act as a Data Fiduciary in relation to personal data processed through the Platform, except where processing is carried out solely on behalf of a customer in accordance with applicable contractual arrangements.

The Platform is intended primarily for business and recruitment purposes and is not directed toward children.

Users must not knowingly upload personal data relating to children unless all legally required permissions, notices, and consents have been obtained.

b. Our Service

TalentFora.in provides tools that use artificial intelligence and automated processes to analyze resumes and related candidate data, generate insights, and support recruitment and evaluation processes.

The Platform is intended solely as an assistive tool.

It does not make hiring decisions, is not intended to be used as the sole basis for automated decision-making, and must not be relied upon as the sole basis for any employment or hiring decision.

All outputs require human review and judgment.

c. Acceptance of These Terms

By accessing or using the Platform, including by creating an account, submitting information, uploading candidate data, or subscribing to any paid services, you agree to be bound by these Terms & Conditions.

If you do not agree to these Terms, you must not use the Platform. You confirm that:

• You are at least 18 years old; and
• You have the legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent.

Your use of the Platform is also subject to our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect your information.

In addition to the confirmation set out above, you must not:

• upload, publish, transmit, store, display, or otherwise make available any content that is defamatory, obscene, pornographic, invasive of privacy, harmful to children, hateful, discriminatory, misleading, fraudulent, or otherwise unlawful under applicable Indian law;
• impersonate another person or entity, or falsely represent your affiliation with any person or organisation;
• upload or transmit viruses, malware, spyware, ransomware, malicious code, or other harmful software;
• infringe any intellectual property rights, privacy rights, publicity rights, contractual rights, or other legal rights of any person;
• use the Platform in a manner that could unlawfully discriminate against individuals on the basis of caste, religion, race, ethnicity, sex, gender identity, sexual orientation, disability, age, marital status, nationality, pregnancy, or any other protected characteristic;
• use the Platform to generate, disseminate, or facilitate misinformation, deceptive content, or unlawful activity;
• circumvent, disable, interfere with, or compromise any security features, access controls, logging mechanisms, or usage limitations implemented by TalentFora.in.

TalentFora.in reserves the right to remove, disable access to, restrict, or investigate content or activities where required by law, a valid governmental direction, a court order, or where reasonably necessary to protect users, the Platform, or third parties.

2. User Accounts, User Types and Acceptable Use

a. User Accounts

Access to the Platform requires the creation of an account. You agree to:

• Provide accurate and complete information when creating an account;
• Keep your login credentials secure and confidential; and
• Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts where we reasonably believe there has been unauthorised use, misuse of the Platform, or a breach of these Terms.

b. User Types

The Platform may be used by different types of users, including:

• Employers/Recruiters, who use the Platform to upload, review, analyse, and evaluate candidate information; and
• Candidates, whose data may be submitted to or processed by the Platform in connection with recruitment activities.

Where you use the Platform on behalf of an organisation, you confirm that you are authorised to act on its behalf and to bind that organisation to these Terms.

c. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

1. Use the Platform in any way that violates applicable laws or regulations, including employment, data protection, or anti-discrimination laws;
2. Upload, submit, or process any content that is unlawful, harmful, misleading, or infringes the rights of others;
3. Use the Platform to make fully automated decisions about individuals without appropriate human review;
4. Attempt to reverse engineer, interfere with, or disrupt the Platform or its underlying systems;
5. Use automated tools (including bots, scraping tools, or scripts) to access or extract data from the Platform without permission;
6. Misuse, copy, distribute, or exploit any data obtained through the Platform in a way that breaches applicable law or these Terms.

We reserve the right to monitor use of the Platform and to suspend or restrict access where we reasonably believe these Terms have been breached.

2.4 Grievance Redressal

TalentFora.in is committed to addressing user concerns and grievances in a timely and transparent manner.

Users may submit complaints relating to the Platform, privacy matters, account access, unlawful content, data processing activities, billing issues, or other concerns to the Grievance Officer whose details are made available on the Platform and in the Privacy Policy.

Complaints shall be acknowledged and addressed within the timelines prescribed under applicable law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, where applicable.

TalentFora.in may request additional information reasonably necessary to investigate and resolve a complaint.

3. AI Disclaimer and Limitations of Service

a. Nature of AI Services

The Platform is designed to support human decision-making and should be used in a manner consistent with applicable Indian laws, employment laws, anti-discrimination obligations, privacy requirements, and any future laws, regulations, advisories, or standards relating to artificial intelligence issued by the Government of India or competent regulatory authorities.

Users acknowledge that AI-generated outputs are probabilistic in nature and should be treated as recommendations only. Such outputs do not constitute factual determinations regarding an individual's suitability, qualifications, integrity, performance, or employability.

b. No Automated Decision-Making

The Platform does not make decisions regarding candidates or employment outcomes. You agree that:

1. All outputs must be reviewed by a human; and
2. No decision affecting an individual should be made solely on the basis of Platform outputs.

c. User Responsibility

You are solely responsible for:

1. How you interpret and use any outputs generated by the Platform; and
2. Any decisions made in relation to candidates, including hiring, rejection, or evaluation.

The Platform is intended to support, and not replace, independent judgment.

d. No Guarantees

To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis.

We do not guarantee that the Platform will:

1. Produce accurate, complete, or error-free results;
2. Identify the most suitable candidates; or
3. Operate without interruption or limitation.

e. System Limitations

You acknowledge that:

1. AI systems may reflect biases present in underlying data or model design;
2. Outputs may vary depending on the quality and completeness of input data; and
3. The Platform may evolve over time, including updates to models, methodologies, and functionality.

f. No Liability for Decisions

To the maximum extent permitted by applicable law, we are not responsible for:

1. Any decisions made based on Platform outputs;
2. Any employment, hiring, or evaluation outcomes; or
3. Any loss or damage arising from reliance on AI-generated results.

4. Fees, Subscriptions and Payments

a. Fees and Subscription

Access to certain features of the Platform may require payment of fees on a subscription basis.

Details of applicable fees, billing cycles, subscription terms, free trials, promotional codes, credits, and usage limits will be made available at the point of purchase or within the Platform.

All applicable fees, charges, taxes (including Goods and Services Tax (GST), where applicable), subscription terms, usage limitations, renewal terms, and billing frequencies shall be clearly disclosed prior to purchase. Softfoora Services Private Limited does not impose hidden charges, misleading fees, or undisclosed billing obligations.

TalentFora.in does not use deceptive interfaces, forced action mechanisms, misleading countdown timers, disguised advertisements, confirm-shaming techniques, pre-selected paid upgrades, or other dark patterns prohibited under applicable Indian law.

b. Billing and Payment Processing

All payments are processed through a third-party payment provider, such as Stripe.

By making a payment, you agree:

1. To provide accurate and complete billing information; and
2. To authorize us (and our payment provider) to charge the applicable fees.

We do not store full payment card details.

c. Subscription Renewal

Subscriptions may renew automatically at the end of each billing period unless cancelled before the applicable renewal date.

The applicable billing cycle, renewal frequency, and recurring payment obligations will be disclosed prior to subscription purchase.

Where reasonably practicable, TalentFora.in may provide renewal reminders, renewal notices, billing notifications, or account communications prior to charging recurring subscription fees.

You are responsible for managing your subscription and cancelling prior to renewal if you do not wish to continue.

d. Cancellation

You may cancel your subscription through the Platform, where cancellation functionality is available, or by following the cancellation instructions made available within your account, order form, invoice, or other customer communications.

Cancellation will take effect at the end of the current billing period unless otherwise stated.

The cancellation process shall be reasonably accessible and shall not be materially more burdensome than the process used to subscribe to the Platform. TalentFora.in does not intentionally employ cancellation flows designed to mislead, obstruct, delay, or discourage users from exercising cancellation rights.

e. Refunds

Except where required by applicable law, consumer protection requirements, payment network rules, regulatory directions, or expressly stated in a subscription plan or written agreement, fees paid for subscriptions and services are generally non-refundable.

Nothing in this Policy shall limit any rights available to users under applicable consumer protection laws.

Where refunds, adjustments, or goodwill remedies are provided, they may, at our discretion, be issued in the form of service credits or website credits.

f. Changes to Fees

We reserve the right to change pricing or subscription terms from time to time.

Any changes will be communicated in advance and will apply to future billing periods.

5. Data, Privacy and User Content

a. User Content

You may upload, submit, or otherwise provide content to the Platform, including resumes, candidate data, and related information ("User Content").

You are solely responsible for:

1. The accuracy and completeness of any User Content; and
2. Ensuring that you have the right to upload, process, and use such content.

b. Lawful Use of Data

You agree that any User Content you provide:

1. Complies with applicable data protection, employment, and other relevant laws; and
2. Does not infringe the rights of any individual or third party.

Users acknowledge and agree that personal data uploaded, submitted, accessed, exported, or otherwise processed through the Platform shall be handled in accordance with applicable privacy and data protection laws, including the Digital Personal Data Protection Act, 2023 ("DPDPA").

Where users upload candidate information or other personal data to the Platform, they represent and warrant that they have provided all required notices and obtained all necessary permissions, consents, authorisations, or other lawful grounds required under applicable law.

Users remain responsible for ensuring that personal data processed through the Platform is accurate, relevant, and lawfully collected.

c. Platform Processing

We process User Content for the purpose of providing, securing, supporting, maintaining, and improving the Platform, including AI-based analysis and related services, in accordance with these Terms, our Privacy Policy, any applicable Data Processing Addendum, customer settings, and applicable law.

TalentFora.in may process personal data only for lawful and legitimate purposes connected with the provision, operation, security, maintenance, support, improvement, and lawful administration of the Platform.

Where consent is relied upon as the legal basis for processing, users may withdraw consent in accordance with applicable law, subject to any consequences arising from such withdrawal.

d. Data Access, Download and Export

The Platform may enable employers, recruiters, or customers to access, review, analyse, download, or export candidate data, including CVs, resumes, related Platform outputs, rankings, scores, summaries, reports, or insights.

You acknowledge that once data is accessed, downloaded, exported, transferred, or otherwise used outside the Platform, you are responsible for its subsequent use, storage, sharing, transfer, retention, deletion, security, and compliance with applicable laws.

e. Data Responsibility

We do not verify the accuracy or legality of User Content and are not responsible for:

1. The content of any data submitted by users; or
2. How users use, process, or rely on such data.

TalentFora.in retains personal data only for so long as reasonably necessary to fulfil the purposes for which it was collected, comply with contractual obligations, protect platform security, resolve disputes, enforce legal rights, and satisfy legal or regulatory requirements.

Personal data that is no longer required may be deleted, anonymised, archived, or otherwise processed in accordance with applicable law, internal retention schedules, and the Privacy Policy.

f. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

TalentFora.in implements reasonable technical, organisational, and administrative safeguards designed to protect information processed through the Platform against unauthorised access, disclosure, alteration, misuse, loss, or destruction.

TalentFora.in may maintain audit logs, access logs, system logs, and security records for a minimum period required under applicable law, including applicable cybersecurity and CERT-In requirements.

Where required by law, Softfoora Services Private Limited may investigate, report, disclose, or otherwise respond to cybersecurity incidents, security breaches, suspected unlawful activity, or legal requests from competent authorities.

g. Data Responsibility and Export

You are responsible for ensuring that you have a valid legal basis to upload and process any personal data, including candidate CVs.

Where you download, export, or otherwise access candidate data outside the Platform, you are solely responsible for its subsequent use, storage, transfer, sharing, retention, deletion, and compliance with applicable laws, including data protection and employment laws.

6. Intellectual Property

a. Ownership of the Platform

All intellectual property rights in the Platform, including its software, design, structure, features, algorithms, models, scoring systems, underlying technology, branding, documentation, and related materials, are owned by or licensed to TalentFora.in and/or the relevant Softfoora Services Private Limited group entities.

Nothing in these Terms transfers any ownership rights in the Platform, the TalentFora.in product, or any Softfoora Services Private Limited intellectual property to you.

b. Ownership of Outputs

To the extent permitted by law, all intellectual property rights in the Outputs, including candidate rankings, scores, summaries, reports, and insights ("Outputs"), are owned by or licensed to Softfoora Services Private Limited and/or the relevant Softfoora Services Private Limited group entities.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable license to use Outputs solely for your internal business purposes, including recruitment and candidate evaluation activities.

c. Use of Outputs

You may use Outputs as part of your internal hiring processes or to support services provided to your clients, provided that such use does not involve:

1. reselling, sublicensing, or commercializing the Outputs as a standalone product or service;
2. using Outputs to develop, train, or improve any competing product, model, or service; or
3. misrepresenting Outputs as independently generated without the use of the Platform.

d. User Content

You retain ownership of any User Content uploaded to the Platform.

You grant TalentFora.in a non-exclusive, worldwide, royalty-free, revocable (to the extent required by applicable law) licence to host, store, process, analyse, reproduce, transmit, access, and otherwise use User Content solely to provide, secure, maintain, improve, support, and operate the Platform and associated services in accordance with these Terms, the Privacy Policy, applicable customer instructions, and applicable law.

Nothing in this Section permits TalentFora.in to use personal data in a manner inconsistent with applicable privacy or data protection laws.

e. Restrictions

You must not, and must not permit any third party to:

1. copy, reproduce, modify, or create derivative works from the Platform or its Outputs;
2. reverse engineer, decompile, or attempt to extract the source code, models, or underlying logic of the Platform;
3. access or use the Platform to build or support a competing product or service; or
4. remove or obscure any proprietary notices or branding.

f. Nature of AI Outputs

You acknowledge that Outputs are generated using automated and statistical processes and may not be unique. Similar or identical outputs may be generated for other users based on similar inputs.

g. Data Storage and Access Options

The Platform may offer different service levels, including:

1. processing and returning ranking-based Outputs without retaining underlying CV data; and/or
2. storing and hosting User Content and related Outputs for defined retention periods.

Where User Content is stored by TalentFora.in, it will be processed and retained in accordance with these Terms and the Privacy Policy. Where Outputs or data are downloaded or exported, your use of such data remains subject to Section 5.7 (Data Responsibility and Export).

7. Suspension and Termination

a. Suspension and Termination Rights

We may suspend, restrict, or terminate your access to the Platform, with or without notice where reasonably necessary, including where:

1. you breach these Terms or any applicable policies;
2. you fail to pay applicable fees within the required timeframe;
3. your use of the Platform is unlawful, harmful, discriminatory, misleading, or unethical;
4. you process, store, or transfer personal data in breach of applicable data protection laws (including GDPR or DPDP);
5. you share access credentials, provide unauthorised access to third parties, or resell the Platform without permission;
6. you attempt to reverse engineer, interfere with, or disrupt the Platform, including its AI models or infrastructure;
7. you engage in excessive, automated, or abusive usage that impacts system performance or circumvents usage limits;
8. your account is compromised or poses a security risk to the Platform or other users;
9. you use the Platform in a fraudulent, deceptive, or misleading manner;
10. you misuse Platform features, retention settings, candidate data, or exported data; or
11. your actions materially harm or risk harm to our systems, users, business, brand, reputation, or public trust.

TalentFora.in may remove, disable access to, restrict, preserve, monitor, or investigate content, accounts, data, or activities where required by applicable law, governmental direction, court order, regulatory requirement, law enforcement request, or to protect the rights, safety, security, reputation, or legitimate interests of Softfoora Services Private Limited, users, or third parties.

Where reasonably practicable, TalentFora.in may provide notice before suspension or termination; however, prior notice may not be provided where immediate action is required for security, legal compliance, fraud prevention, or risk mitigation purposes.

We may also suspend or restrict access where required to comply with applicable law, regulation, or legal process.

We are not liable for any loss arising from suspension or termination carried out in accordance with these Terms.

b. Effect of Termination

Upon termination:

1. your right to access and use the Platform will immediately cease;
2. any outstanding fees will remain payable; and
3. we may delete, restrict, retain, or disable access to your account and associated data in accordance with our data retention policies, Privacy Policy, and applicable law.

c. Survival

Any provisions of these Terms which by their nature should survive termination shall continue in effect, including those relating to intellectual property, liability, indemnity, and data protection.

8. Limitation of Liability

a. No Indirect Loss

To the maximum extent permitted by applicable law, TalentFora.in shall not be liable for any indirect, incidental, special, or consequential loss or damage, including but not limited to:

1. loss of profits;
2. loss of business or opportunity;
3. loss of data (other than where required by law); or
4. reputational harm,

arising out of or in connection with the use of, or inability to use, the Platform.

b. Cap on Liability

To the maximum extent permitted by applicable law, TalentFora.in total aggregate liability arising out of or in connection with these Terms or the use of the Platform (whether in contract, tort (including negligence), or otherwise) shall be limited to:

c. Carve-Outs

Nothing in these Terms shall limit or exclude liability to the extent that such liability cannot be limited or excluded under applicable law, including liability for:

1. fraud or fraudulent misrepresentation; or
2. any other liability which cannot be lawfully excluded or limited.

d. AI and Decision-Making

Without limiting the generality of the above, TalentFora.in shall not be liable for:

1. any hiring, employment, or evaluation decisions made using the Platform; or
2. any reliance placed on AI-generated outputs.

e. User Responsibility for Data and Compliance

You acknowledge and agree that you are solely responsible, and TalentFora.in shall have no responsibility, for:

1. ensuring compliance with applicable employment, data protection, and anti-discrimination laws; and
2. the lawful use, storage, transfer, sharing, retention, and deletion of any data processed, downloaded, or exported through the Platform.

9. Indemnity

a. User Indemnity

You agree to indemnify, defend, and hold harmless TalentFora.in, Softfoora Services Private Limited and their respective affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with:

1. your use of the Platform;
2. any User Content uploaded, submitted, or processed by you;
3. your use of Outputs generated by the Platform;
4. your downloading, exporting, storing, sharing, transferring, retaining, or deleting of candidate data outside the Platform;
5. decisions made by you in relation to candidates, including hiring, rejection, or evaluation decisions;
6. your breach of these Terms; or
7. your violation of any applicable law or the rights of any third party, including data protection, employment, or anti-discrimination laws.

b. Data and Third-Party Claims

Without limiting the above, you agree to indemnify TalentFora.in against any claims brought by candidates or other third parties arising from:

1. the collection, upload, or processing of personal data by you;
2. the use or disclosure of candidate data outside the Platform; or
3. any alleged misuse, unlawful processing, or mishandling of personal data.

c. Conditions

TalentFora.in will:

1. notify you promptly of any claim (to the extent reasonably practicable); and
2. allow you to assume control of the defense and settlement of the claim, provided that you do not settle any claim in a manner that imposes liability or obligations on TalentFora.in without its prior written consent.

10. Governing Law and Jurisdiction

a. Governing Law

These Terms and any dispute, controversy, claim, or proceeding arising out of or relating to these Terms, the Platform, or the relationship between the parties shall be governed by the laws applicable in India.

The parties shall first attempt to resolve disputes amicably through good-faith discussions. If a dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a sole arbitrator appointed by TalentFora.in.

The seat and venue of arbitration shall be Delhi-NCR.

Subject to the arbitration provisions above, courts shall have exclusive jurisdiction in Delhi-NCR relation to matters arising from these Terms.

11. International Data Transfers

a. Cross-Border Processing

You acknowledge that, in order to provide, support, secure, maintain, and improve the Platform, User Content and personal data may be processed, stored, accessed, transferred, or supported in multiple jurisdictions, including Ireland, India, and jurisdictions outside your country or the European Economic Area (EEA).

b. Transfers Outside the EEA

Where personal data is transferred outside the EEA, TalentFora.in will use appropriate safeguards as required under applicable data protection laws, including the General Data Protection Regulation (GDPR).

Such safeguards may include:

1. standard contractual clauses approved by the European Commission;
2. data processing agreements with relevant service providers; and
3. other legally recognised transfer mechanisms.

c. Use of Service Providers

TalentFora.in may use group entities and third-party service providers, including cloud, infrastructure, engineering, support, payment, analytics, security, and operational providers, to host, access, support, and process data. These providers may operate in multiple jurisdictions.

We take reasonable steps to ensure that such providers implement appropriate technical and organisational measures to protect personal data.

d. User Responsibility for Transfers

Where you download, export, or otherwise transfer personal data from the Platform to another jurisdiction, you are solely responsible for ensuring that such transfers comply with applicable data protection laws.

12. General

a. Changes to These Terms

We may update or modify these Terms from time to time. Where changes are material, we will take reasonable steps to notify you (for example, via the Platform or by email).

Your continued use of the Platform after any such changes take effect constitutes acceptance of the updated Terms.

Where required by applicable law, we will obtain your consent to material changes.

b. Entire Agreement

These Terms, together with any policies, notices, addenda, or documents referenced herein or made available by TalentFora.in, including the Privacy Policy, Cookie Policy, Cancellation & Refund Policy, AI / Human Oversight Notice, Sub-Processor / Data Transfer Summary, and any applicable Data Processing Addendum, constitute the entire agreement between you and TalentFora.in in relation to the Platform and supersede any prior agreements, understandings, or representations.

c. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Any failure or delay by TalentFora.in to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

d. Assignment

You may not assign, transfer, or otherwise dispose of your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

e. No Partnership or Agency

Nothing in these Terms shall be deemed to create any partnership, joint venture, or agency relationship between you and TalentFora.in.

f. Third-Party Rights

A person who is not a party to these Terms shall not have any rights to enforce any provision of these Terms, except where expressly stated.

g. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, internet or infrastructure failures, cyber incidents, labour disputes, or governmental actions.
